  1. Also, if our wonderful journalists did some fucking research. You can agree to a deal and submit the paperwork to the PL prior to the owner & director test/ aka the fit and proper test. These can be submitted by the club. It's their notification to the PL that their club is having either director or owner change. A club usually won't submit this paperwork until they feel like the deal will close. So for all we know, this could be sitting in MAs court.
  2. People need to read clearly. Read it again below, they say the fit and proper test takes time, and they are / will do whatever is needed during this. That is all they said. Not that it's started, not that it's done.   4. I work in corporate M&A - heads of terms are not typically understood to be legally binding. It's an understanding of the general agreement between the parties but this can often be one or two pages max with the actual share purchase agreement being 100 pages plus. Often the terms in the HOTs themselves are tweaked slightly as issues arising with the drafting of the SPA. Yeah same here but in the US for a REIT, but an offer to purchase something is never legally binding unless the HOT/HOA/LOI is expressly written as such. But over here in the US, if you submit an LOI to purchase a business/asset, it includes the key terms to consummate a transaction. If both parties agree on it, they move to the contract which can be 100s of pages long. Once that is signed by both parties you work through the stages of DD and Closing and then you're officially closed/sold. I understand that it's different over in the UK and Middle East, so I'm trying to rack my head around the fact that if a heads of term or agreement has been signed by both parties, outlining all the key terms, and whilst still not technically binding, that is an offer to purchase something. What am I missing over in your neck of the woods then in terms of transactions?
  5. Absolutely. There has been no official bid, apart from the pieces of paper he has signed saying that they agreed a price. You're agreeing with me right? A heads of agreement, signed by both parties, is as close to official as you can get for an offer to purchase an entity or asset or business. You then move to the official purchase & sale agreement that binds everything legally, which can be enforced by law local custom etc.
  6. I can't believe I'm going through these articles, but doing just simple diligence here...but submitting a heads of agreement is a fucking official offer. When you agree to terms outlining a deal, it includes the offer price, the closing time-frame, the contingencies (if any) etc
  7. BZG is saying they have agreed terms with MA, put them in writing, signed by both parties, and sent over to the PL. Dailymail says that "sources close to the club" have confirmed that a heads of agreement (or a non-binding letter of intent, in my world) has been signed by both parties and submitted to the PL OK - the two points above check out. Telegraph (edwards) says that MA has yet to receive an official bid. Again, in my world a heads of agreement or letter of intent outling price, terms, etc. that is signed is an official bid.
  8. Why would the PL issue a no comment on the matter of the fit & proper test and then go and tell Sportsmail it hasn't started? Also is it conceivable that the PL is also speaking in factual terms, so that they haven't started the process yet because maybe a) BZG haven't submitted everything yet, etc? This is all so strange. Again, MA's silience on the matter is not surprising.

I really don't care who is saying what - what I do care about is the sheer incompetence and hastiness in which the local journalists are trying to give out updates, only to contradict 20 mins later. I understand this is fluid situation and the info is coming at them in many different areas which is true/false/random claim etc - they've never had control of this story, and likely won't.

  17. I take it you disagree then? I don't see how the likes of Liverpool and Man Utd wouldn't be getting offers like that if they were for sale. Not with man united or Liverpool. But that’s not most of the CL Clubs. You’ve literally picked two of the top handful.
