It depends what the rules say to be honest. If they are not given arbitrary discretion, then no, it's not up to them to make their own judgement. If they have to make the decision based on a clear set of rules, those rules are the only thing that matters. They can't change the criteria mid-application because they don't like the outcome. If they are given arbitrary discretion, it still might be anti-competitive which is of course unlawful on public policy grounds.

Because this is a civil case, not a criminal case. It's not "guilty" or "innocent". It's about seeking a remedy — which may be damages, i.e. the Premier League would have to pay money to NUFC, or it may be an injunction which would order the Premier League to do or not do something. Failure to comply with an injunction would be contempt of court. It's the injunction remedy that may require the PL to allow the takeover to progress, although in reality it may be more nuanced than this, for example being required to re-perform the O&D test.
