The nonexecutive chair is responsible for chairing the board meetings as well as the executive sessions of independent directors. The nonexecutive chair's role is to improve and maximize the governance process, not to manage the company. An executive chairman has many of the same responsibilities as a non-executive chairman, except he's a company's paid employee. An executive chairman takes a more active role in supporting the CEO, ensuring the CEO grows into the role. He can help the CEO make the right decisions and avoid wrong ones. A chief executive officer (CEO) is the highest-ranking executive in a company, whose primary responsibilities include making major corporate decisions, managing the overall operations and resources of a company, acting as the main point of communication between the board of directors (the board) and corporate operations and being the public face of the company.
